These Terms of Service (the "Terms") govern your access to and use of the WooliiPorter parcel-forwarding and consolidation platform, websites, and related services (collectively, the "Services"). The Services are operated by WOOLII, LLC, a Delaware limited liability company. Please read these Terms carefully, because by creating an account or using the Services you agree to be bound by them.
1. Acceptance of Terms & Eligibility
By registering for an account, placing a forwarding request, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced in them, including our Privacy Policy. If you do not agree, you must not use the Services.
You must be of the age of legal majority in your country of residence, or use the Services under the supervision of a parent or legal guardian who agrees to these Terms. You represent that you have the legal capacity to enter into a binding agreement.
If you use the Services on behalf of a business or other entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.
The Services are intended for use by residents of the countries we currently serve. We may add, restrict, or discontinue availability in any location at our discretion.
2. Description of Services
WooliiPorter provides a cross-border parcel forwarding and consolidation service. In general, this means:
- Receiving: We receive parcels shipped to our warehouse address in China on your behalf and log them to your account.
- Storage: We hold received parcels for a limited free period, after which storage fees may apply (see Section 8).
- Consolidation: On request, we combine multiple parcels into a single outbound shipment to help reduce international shipping costs.
- Inspection & Weighing: We perform a basic intake check and weigh and measure parcels to calculate shipping charges (see Section 9).
- Repackaging: On request, we may remove excess packaging, repack, or reinforce items to optimize weight, volume, or protection.
- Forwarding: We arrange onward international delivery through third-party logistics carriers to your chosen destination.
- Tracking: We provide tracking information where available from carriers.
- Value-added services: We may offer optional paid services such as extra protection, photos, or special handling.
We act as a forwarding and logistics facilitator. We are not the seller of the goods you purchase from third-party merchants, are not a party to your transactions with those merchants, and do not act as the carrier that transports your international shipments.
3. Account Registration & Security
To use the Services you must create an account and provide accurate, current, and complete information. You agree to keep this information up to date, including your name, contact details, and delivery address.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use or suspected security breach.
We may authenticate accounts through email and password or supported third-party sign-in providers. You are responsible for the security of any linked accounts you use to access the Services.
We may refuse registration, suspend, or close accounts that contain false information, are used for prohibited purposes, or otherwise violate these Terms.
4. Prohibited & Restricted Items
You are solely responsible for ensuring that any goods you send to our warehouse and ask us to forward are legal to purchase, export from the origin country, transport, and import into the destination country.
You must not send, and we may refuse to handle, store, or forward, items that are prohibited or restricted, including but not limited to:
- Dangerous or hazardous goods, including explosives, flammable liquids and gases, compressed gases, corrosives, oxidizers, radioactive materials, and toxic substances.
- Weapons, ammunition, and their parts.
- Illegal drugs, controlled substances, and related paraphernalia.
- Counterfeit currency, fraudulent documents, and items that infringe applicable laws.
- Perishable goods, live animals or plants, and human remains.
- Items whose import, export, or transport is prohibited or restricted by the origin country, the destination country, or the carrier.
Destination-country customs rules and carrier acceptance rules apply in addition to this list and may be stricter. You are responsible for verifying that your items comply with all applicable rules. We may open, inspect, refuse, hold, return, dispose of, or report prohibited items, and may report suspected illegal activity to the relevant authorities as required by law. We do not warrant the legality of any item, and any handling of an item by us does not imply that it is lawful or permitted.
5. Shipping, Delivery Estimates & Tracking
International delivery is performed by third-party logistics carriers. Delivery times, routes, and service availability depend on the carrier, the destination, customs processing, and factors outside our control.
Any delivery times, transit windows, or cost estimates we display are estimates only and are not guarantees. We are not liable for delays caused by carriers, customs, weather, force majeure, incomplete or inaccurate address information, or other circumstances beyond our reasonable control.
Where carriers provide tracking information, we will make it available to you. Tracking data is generated by carriers and may be delayed or incomplete; we do not guarantee its accuracy or continuous availability.
You are responsible for providing a complete and correct delivery address and for ensuring someone can receive the shipment. Additional charges arising from incorrect addresses, failed delivery, redirection, or return may be passed on to you.
6. Customs, Duties, Taxes & Import Compliance
For shipments forwarded to you, you are the importer of record unless otherwise required by applicable law. You are responsible for complying with all import laws and regulations of the destination country.
You are responsible for all customs duties, import taxes, VAT/GST, brokerage fees, and any other charges imposed by authorities or carriers in connection with your shipment. These charges are separate from and additional to the fees you pay us, and are typically assessed by the destination country.
You are responsible for providing accurate and truthful information for customs declarations, including item descriptions, quantities, and values. You must not ask us to under-declare value, misdescribe contents, or otherwise misrepresent a shipment. We may decline any such request.
If a shipment is delayed, held, inspected, taxed, seized, returned, or destroyed by customs or other authorities, you remain responsible for applicable charges, and we are not liable for the resulting loss, delay, or cost.
7. Fees, Payment & Currency; Refunds
Fees for the Services, including shipping charges, consolidation, storage, and value-added services, are displayed on the platform and are priced and charged in US Dollars (USD).
Shipping charges are generally based on the weight, dimensions (including volumetric weight), destination, carrier, and any services you select. Charges may be recalculated after we weigh and measure your parcels, and the final amount may differ from any initial estimate.
Payments are processed through third-party payment providers, including Stripe and PayPal. By paying, you agree to the applicable provider's terms. You are responsible for any currency conversion, bank, or card fees charged by your payment provider.
Payment is generally required before a shipment is forwarded. We may withhold forwarding until payment clears.
Refunds, where applicable, are handled at our reasonable discretion and in accordance with these Terms. Fees for services already performed (such as handling, consolidation, or storage) and third-party costs already incurred (such as carrier charges, duties, and taxes) are generally non-refundable. Refunds are normally issued to the original payment method.
8. Storage, Free Period, Storage Fees & Unclaimed Parcels
We provide a limited free storage period for parcels received at our warehouse, as indicated on the platform. After the free period ends, storage fees may accrue at the rates shown on the platform until the parcels are forwarded or otherwise removed.
You are responsible for arranging forwarding of your parcels within a reasonable time. Parcels that remain unpaid, unclaimed, or without valid forwarding instructions for an extended period, as defined on the platform, may be treated as abandoned.
We reserve the right to dispose of, donate, recycle, or otherwise deal with abandoned or unclaimed parcels after the applicable period, without liability to you, and to apply any outstanding storage or handling fees against amounts owed. Where we dispose of goods, we are not required to reimburse their value.
We may also dispose of, return, or refuse parcels that are prohibited, damaged, leaking, hazardous, or that we reasonably believe pose a risk to our staff, facilities, or other parcels.
9. Inspection, Weighing & Repackaging
On intake, we perform a basic check to confirm the number of parcels, general condition, and to weigh and measure them for pricing. On request, and where offered, we may provide additional inspection, photos, repackaging, or consolidation.
Our inspection is limited and operational in nature. Unless a specific paid service states otherwise, we do not open sealed retail packaging, test functionality, verify quantities inside sealed items, confirm that goods match your order, or assess quality.
We are not authenticators. We do not verify the authenticity, brand legitimacy, genuineness, safety, or legality of any item. Any handling, photographing, repackaging, or forwarding of an item by us is not an endorsement or confirmation that the item is authentic, safe, or lawful.
Repackaging is performed to reasonably optimize weight, volume, or protection. Original packaging, promotional materials, invoices, or accessories may be removed or discarded during repackaging unless you instruct us otherwise in advance and we accept that instruction.
10. Loss, Damage, Claims & Limitation of Liability
We handle parcels with reasonable care. However, cross-border logistics involves risk of loss or damage, much of it during carriage by third-party carriers and customs handling, which is outside our direct control.
You are responsible for accurately declaring the value of your goods and, where insurance or extra protection is offered, for choosing and paying for an appropriate level of coverage. If you do not declare value or arrange coverage where available, any compensation may be strictly limited.
Claims for loss or damage must be submitted within the timeframe and following the procedure indicated on the platform, with supporting evidence such as photos, order records, and value documentation. Claims relating to carrier loss or damage are subject to the relevant carrier's rules, limits, and timelines.
To the maximum extent permitted by applicable law: (a) the Services are provided on an "as is" and "as available" basis; (b) we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill; and (c) our total aggregate liability for any claim relating to a shipment is limited to the lesser of the declared value of the affected goods, any coverage amount you purchased for that shipment, or the fees you paid to us for the affected shipment.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including certain rights you may have as a consumer under mandatory local law.
11. User Obligations & Accurate Information
You agree to:
- Provide accurate, complete, and current account, shipment, and declaration information, and keep it updated.
- Only send items you are legally entitled to purchase, own, export, and import.
- Comply with all applicable laws, carrier rules, and destination-country import requirements.
- Respond promptly to requests for information, documentation, or instructions needed to process your shipments.
- Pay all fees, duties, taxes, and charges for which you are responsible.
You are responsible for the consequences of inaccurate or incomplete information, including delays, additional charges, returns, seizure, or destruction of goods. You agree to indemnify and hold us harmless against claims, losses, fines, and costs arising from your breach of these Terms, your violation of law, or the contents of parcels you send.
12. Intellectual Property
The Services, including the WooliiPorter platform, website, software, text, graphics, logos, and brand elements, are owned by us or our licensors and are protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms. You may not copy, modify, distribute, reverse engineer, scrape, or create derivative works from the Services except as permitted by law.
All trademarks, service marks, and trade names displayed on the Services are the property of their respective owners. Nothing in these Terms grants you any right to use our brand or third-party marks without prior written permission.
13. Prohibited Conduct
When using the Services, you must not:
- Use the Services for any unlawful, fraudulent, or deceptive purpose, or to facilitate smuggling, tax evasion, or the movement of prohibited goods.
- Provide false, misleading, or fraudulent information, including inaccurate customs declarations.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services, our systems, or other users' accounts.
- Use bots, scrapers, or automated means to access the Services in a manner that is not expressly permitted.
- Infringe the intellectual property or other rights of us or any third party.
- Abuse, harass, or threaten our staff, or misuse any affiliate, referral, or promotional program.
We may investigate and take appropriate action, including refusing service, suspending or terminating accounts, withholding or reversing payouts, and reporting conduct to authorities.
14. Suspension & Termination
You may stop using the Services and request account closure at any time, subject to settling any outstanding fees and collecting or forwarding any parcels held for you.
We may suspend or terminate your access to the Services, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms, engaged in unlawful or fraudulent activity, created risk or legal exposure, or failed to pay amounts due.
Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination, including those on fees owed, prohibited items, liability, indemnity, intellectual property, and dispute resolution, will continue to apply. Parcels remaining after termination are subject to our storage and unclaimed-parcel provisions in Section 8.
15. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that estimates will be accurate, that carriers will deliver within any particular time, or that goods will clear customs. We make no representation regarding the authenticity, quality, safety, or legality of goods you purchase from third parties and ask us to forward.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you; in that case, such warranties are limited to the minimum extent permitted by law.
16. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, and to the extent permitted by any mandatory consumer-protection laws of your country of residence.
Before initiating formal proceedings, you agree to first contact us and attempt in good faith to resolve the dispute informally. Many issues can be resolved quickly through our support channels.
If a dispute cannot be resolved informally, it will be handled through the courts or dispute-resolution mechanism applicable under the governing law, subject to any non-waivable rights you may have to bring proceedings in your local courts as a consumer. Nothing in this section deprives you of the protection of mandatory provisions of the law of your place of residence.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. When we make material changes, we will update the "last updated" date and, where appropriate, provide additional notice through the platform or by email.
Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Services and may close your account. We encourage you to review these Terms periodically.
18. Commerce Platform Integrations
When you connect a supported commerce platform, including WooCommerce or an approved Shopify pilot store, you authorize Woolii to receive the order, product, fulfillment, delivery and customer information needed to perform the requested fulfillment service and to return operational status and tracking information to that platform. The connector does not purchase goods from suppliers or replace your merchant-of-record responsibilities.
For Shopify, Woolii acts as a fulfillment service only for fulfillment orders assigned to the Woolii location. A merchant request may be accepted or rejected based on current SKU mapping, route availability, inventory, account standing and operational capacity. Platform availability, review status and supported functions may change; a development or pilot integration is not represented as generally available until Woolii states otherwise.
